2. Service Agreement
Upon engaging Growwth Media Hub for any of the aforementioned services, a separate service agreement will be provided detailing the scope, timeline, and fees associated with the project. Both parties must agree to and sign this agreement before work commences.
3. The Services
2.1. We will provide the Services to You during the Term.
2.2. For Us to provide the level of service proposed we will require input from You to gather information about your business, products and services relevant to the Services. You shall devote such time as is reasonably necessary to provide this information in a timely manner upon request and will make a suitable manager or another senior employee available when reasonably necessary to facilitate the orderly flow of requests and information between Us and You.
2.3 The Content Writing
- Growwth Media Hub agrees to create written material for insertion on Client’s website upon the appeal of the Client and per the approved terms.
- Growwth Media Hub agrees to use rational care to ensure that all facts and statements in the work are correct and that the work does not trespass upon any copyright, or any other right of a third party.
- Growwth Media Hub aadmits that Client has the right to edit the work in a time frame agreed and that Growwth Media Hubw will collaborate with Client in editing and re-reading the work erstwhile to publication.
- Client agrees that they are accountable for studying the final draft for correctness to include spelling and grammatical errors, statements and assertions. Growwth Media Hub is not liable for errors discovered after the website gets live.
2.4 The Web Design And Development
- Growwth Media Hub approves design and develop a website at Client’s request and will deliver the job by to the settled conditions.
- Client is solely responsible for describing the detailed structure, number of pages required, and other relevant terms and conditions.
- Client agrees to supply the Growwth Media Hub with satisfactory photography or imagery to use in the design.
- Client is responsible for obtaining and buying a domain name. Growwth Media Hub may at its discretion instruct Client on suitable names.
- Client hereby admits that Growwth Media Hub is not accountable for any errors, grammatical or otherwise found in the material provided by client.
- Growwth Media Hub agrees to resolve any errors or implement revisions requested by Client. Client agrees that a maximum of three revisions are available(depending on package). Major changes in design won’t be done in revisions.
- Client acknowledges that any change requests after final approval has been given to Growwth Media Hub or after website is live will be charged. Growwth Media Hub will not begin work on following change requests until full payment has been received.
- Client admits that Growwth Media Hub will add a “Web Design and Developed” by “Growwth Media Hub” link to the footnote section of each website they work on. This is branding of Growwth Media Hub and to eliminate it will charge.
- Due to business nature, Growwth Media Hub will not be liable if your website got hacked, lost rankings or errors etc.
- Clients can cancel website development or digital marketing project if the team of Growwth Media Hub has not started work and won’t accept any cancellation after 1 calendar day.
- Once the website is live then paid support will be provided at the rate of ₹500 /hour +18% GST.
For our SEO services, full payment is required in advance due to the ongoing nature of the work. If full payment is not possible, clients must either pay half of the annual fee upfront or make a monthly payment at least 10 days before the end of each month. Failure to make timely payments will result in the suspension of services until the payment is received.
4. Client Obligations
- Provision of Information: Clients must provide all necessary information and materials required for the execution of services in a timely manner.
- Approvals: Clients must provide prompt feedback and approvals to ensure the project progresses as scheduled.
- Access: Clients must ensure Growwth Media Hub has necessary access to websites, social media accounts, and other relevant platforms to perform the agreed services.
5. Payment Terms
- General Payment Structure: For most services, payment will be made in three installments:
- 50% upfront at the start of the project
- 40% upon approval of the work
- 10% at the final delivery of the service
During the Term, You will pay the Charges on the dates specified above. Monthly invoices will be sent 30 days in advance of each payment date.
- Invoices: Invoices will be issued according to the payment schedule outlined in the service agreement.
- Payment Methods: Payments can be made via bank transfer, credit card, or other methods as agreed upon.
6.Consequences for Late Payment
Payments not received by the due date will incur hold on services until the payment is made. Continued non-payment may result in suspension of services until the account is settled.
If our Charges are not settled in accordance with our payment terms then, without prejudice to any other rights we may have, we reserve the right to suspend performance of the Services until payment is received in full. Prompt payment is therefore required in order that no disruption to the Services provided by Us takes place.
7. Confidentiality
Growwth Media Hub agrees to keep all client information confidential and will not disclose any proprietary information without the client’s written consent, except as required by law.
Third Party Modifications: Some Clients may desire to independently edit or update their Services after completion of the design/development as a way to control costs and avoid further expense. The Client agrees that once we complete the development for Client’s Services and the Client or an agent of the Client other than the Service Provider attempts to update Services that were previously rendered by the Service Provider and damages the design or impairs the ability for the Services to display or function properly, then time to repair the will be assessed at the hourly rate of $120. Please note that the aforementioned is applicable for Monthly Maintenance as well.
Abuse: The client agrees to work together, deal and behave with the Service Provider in a professional manner. Any kind of repeated pattern of inappropriate, false accusations, harassment, derogatory or threatening speech directed towards the Service Provider, its officers, staff, and contractors will not be tolerated. The Service Provider has the right to take strict action, legal steps, abiding the law and resume the development process and any related Services right away offering no refund or guarantees to the Client. The Service Provider has zero-tolerance for Clients abusing our Services.
Design Credit & Reviews: The client agrees that the Service Provider may put a byline on the bottom of their web site, establishing design and development credit. The client also agrees that the web site, graphics, video, audio and any development created for the Client will be included in the Service Provider’s portfolio and the Client will provide a text review, audio or video testimonial when requested by the Service Provider. If any or none of these are acceptable, please inform the Service Provider beforehand via email or in writing via registered mail.
8. Termination
- By Client: Clients may terminate the service agreement by providing written notice. Refunds will be subject to the terms specified in the service agreement.
In the event that You wish to cancel receipt of the Services provided by Us, You must give Us notice of your intention to do so. You must give Us notice at least 30 days before the Initial Term or Additional Term (as applicable) ends. If You do not give sufficient notice to cancel the Services, an Additional Term will automatically apply, so it is important that You give notice in good time.
You can give notice verbally to your account manager, but it must be confirmed in writing by email to contact@growwthmediahub.com . If You receive an automated response that indicates that we may not have received your email, it is important that You try again or send Us a letter in the post to our registered office.
- By Agency: Growwth Media Hub reserves the right to terminate the agreement if the client breaches any terms or fails to make payments as agreed.
We can suspend the provision of the Services if You do not meet any of your payment obligations (whether as to the amounts or dates of payment) or we can cancel this Agreement by giving You written notice.
A cancellation notice issued by Us as mentioned above will be effective immediately, and we shall be entitled (but not required) to issue you with an invoice for the balance of the Charges that would have fallen due over the remainder of the Initial Term or Additional Term (as applicable).
9. Limitation of Liability
Growwth Media Hub will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services. Our total liability to the client will not exceed the amount paid for the services in question.
10. Amendments
Growwth Media Hub reserves the right to modify these terms and conditions at any time. Any changes will be posted on this page and, where appropriate, notified to clients via email.
These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Growwth Media Hub operates. Any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
